Termination/Access Restriction

HOATalk.com reserves the right, in its sole discretion, to terminate your access to the HOATalk.com Web Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of North Carolina, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in Mecklenburg County, N.C., U.S.A. in all disputes arising out of or relating to the use of the HOATalk.com Web Site.

Arbitration.

All disputes, controversies, and claims arising out of the terms, operation, or interpretation of this Agreement, or otherwise relating to or arising out of the relationship of the parties shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") then in effect. The proceedings shall be held in Charlotte, NC under the auspices of the AAA. Neither party shall sue the other where the basis of the suit is a disagreement arising directly under this Agreement except for (i) equitable relief including but not limited to infringement or misappropriation of proprietary rights, or (ii) enforcement of the arbitrator's decision in the event the other party is not performing in accordance with the arbitrator's decision. Any such suit is to be held in Charlotte, NC.

Other.

Use of the HOATalk.com Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and HOATalk.com as a result of this agreement or use of the HOATalk.com Web Site.
